It is being rebuilt from the ground up, and will have new dialogue, cutscenes, and features. Mafia: Definitive Edition is remake of the 2002 original. Since the DLCs/DE update was given free to existing owners, everyone'd effectively end up with the DE after that anyway, so simply replacing the existing version with the DE seems understandable in light of that. "Definitive Edition" in this case is likely a misleading title, as the Mafia III: DE appears to just be the base game with all DLCs (ie, what is normally labeled a GOTY/Complete Edition) without any updates at all.
